01Your agreement
These Terms govern your access to and use of the United Founders Group website and related interfaces (together, the "Interface"), maintained by the contributors who run it ("we", "us" or the "contributors"). No contributor holds, controls or can reach any asset in the Protocol.
The "Protocol" means the smart contracts below, on Robinhood Chain (chain ID 4663). The Interface and the Protocol are distinct: the Interface shows information read from the Protocol and prepares transactions for your wallet. The Protocol runs on Robinhood Chain whether or not the Interface exists.
| Contract | Address |
|---|---|
| $UFG token | 0xEfAb538Cf3C29237A47c6aFB145D50Ddf204A0A3 |
| Treasury v1 | 0xc7220C3004662ef3942aef43452893086b9D6fB5 |
| Treasury v2 | 0x8dD84F1901BD74A4D137f0f6a5A3A90E686AAB1D |
By selecting "Agree and continue" where these Terms are presented, you agree to them. If you act for an entity, you represent that you have authority to bind it, and "you" includes that entity. If you do not agree, or are not eligible, do not use the Interface's transaction features.
Digital assets and experimental smart contracts involve substantial risk. You may lose all assets committed to a transaction or position, and you may be unable to recover them.
02Eligibility and restricted access
You may use the Interface's transaction features only if you:
- are at least 18 and have legal capacity to enter into these Terms;
- are legally permitted to use the relevant features and to acquire, hold, transfer, redeem or pledge the relevant assets, including $UFG, ETH and sfrxETH;
- satisfy every issuer, transfer and jurisdictional restriction that applies to you; and
- are not a Restricted Person and are not acting for the account or benefit of a Restricted Person.
A "Restricted Jurisdiction" is any jurisdiction:
- where using the Interface or the Protocol, or acquiring, holding, transferring, redeeming or pledging the relevant assets, is prohibited or restricted by applicable law; or
- that is subject to comprehensive sanctions administered by the United Nations, the United States, the European Union or the United Kingdom.
A "Restricted Person" is:
- anyone located in, resident in, established in or organised under the laws of a Restricted Jurisdiction;
- anyone named on a sanctions or restricted-party list of those authorities or subject to asset-blocking sanctions, including entities treated as blocked because of their ownership, or anyone with whom the relevant dealings are otherwise prohibited;
- anyone whose use would violate applicable law.
It is your responsibility to determine whether you are in a Restricted Jurisdiction. You must not use false information, another person's identity, intermediaries, VPNs, proxies or other means to evade eligibility requirements or access restrictions.
Reading the Interface is open to everyone. The Interface does not verify identity or location. We rely on your representations, and we may restrict Interface access where the law requires it or where reasonably necessary to address an eligibility, sanctions, fraud or security concern. Personal information is handled as described in the Privacy notice below.
Technical access, possession of a wallet or a successful transaction does not establish legal eligibility. These Terms do not authorise otherwise prohibited activity.
03What the Interface does
The Interface displays information obtained or calculated from blockchain data, and prepares transaction requests for your wallet. You control your wallet and decide whether to sign. We never receive your private keys and have no authority to sign transactions for you.
We will never ask for your private key or recovery phrase. We cannot restore a wallet, recover assets, cancel an approval or help with a transaction signed through a compromised wallet. You are responsible for activity authorised through your wallet.
Assets committed to the Protocol are held by the relevant smart contracts under their rules. They are not a deposit with, or held on your behalf by, the contributors. $UFG posted as loan collateral sits in Treasury v2, an immutable contract, and is released or burned only as that contract's rules provide.
Providing the Interface does not appoint us as your investment adviser, broker, agent, trustee or fiduciary. Nothing in these Terms excludes a duty or regulatory obligation that applicable law imposes.
04Contract powers and limitations
Treasury v1 and Treasury v2 have no owner, no pause, no upgrade path and no parameter setter. The only administrative power that ever existed on Treasury v1 was a one-time token binding, exercised at launch. Treasury v2 cannot change Treasury v1. The $UFG token is a standard ERC-20 created by the Pons V2 launch factory; the contributors did not write it, and it has no mint function after launch. We cannot cancel or reverse a Protocol transaction and we cannot patch a defect. A defect in an immutable contract may persist indefinitely, and recovery may be technically impossible.
Two arrangements exist outside the treasuries. This is their scope:
- The token lock (0xab7F…FC31) holds the founder's $UFG, 11.14% of supply. No function can move the tokens before the release date. Its controller, the wallet that deployed it, can move the release date later in seven-day steps, up to three years in total, and can propose a new beneficiary before release. On release the whole balance goes to the beneficiary.
- The funding contracts convert ETH revenue into sfrxETH and deliver it to Treasury v2. A controller can propose a new bridge route, which takes effect after a public seven-day delay. A guardian can pause new batches for 30 days at a time and can switch to the fallback route at once. Neither role can send ETH anywhere except through a route. Both roles are held by the UFG developer wallet until they are transferred to a multi-sig.
Neither arrangement can change, pause or take assets from either treasury.
Future deployments and migrations. We may develop or deploy new interfaces, smart contracts, funding arrangements or other products in the future. Each new deployment is separate from the Protocol contracts identified in these Terms and will be disclosed with its own contract address, source-code reference, version and applicable terms or risk disclosures. A new deployment does not upgrade, replace, amend or create any power over an existing immutable contract.
We will not automatically transfer, exchange, wrap, migrate or otherwise move your assets or position from an existing contract to a new deployment. Any interaction with a new deployment requires your separate, affirmative action through your wallet. You are responsible for reviewing the new deployment and its terms before choosing to interact with it.
Immutability must be assessed separately for each dependency. Robinhood Chain and its sequencer, bridges, the Pons launcher and its fee escrow, the Uniswap v4 pool in which $UFG trades, wallets, and the issuer and bridge of sfrxETH each have their own rules and may have their own powers, described under Material risks. Control over the Interface is separate from control over the Protocol: restricting the Interface does not stop direct interaction with the deployed contracts.
05ETH, sfrxETH and the meaning of "floor"
Treasury v1 holds ETH. Treasury v2 holds "sfrxETH", which here means the token on Robinhood Chain at 0x00000000883279097A49dB1f2af954EAd0C77E3c, the staked ETH token issued by Frax, delivered to Robinhood Chain through Frax's bridge. Its value against ETH depends on the Frax protocol and on Ethereum staking. Frax controls that token on Robinhood Chain and can upgrade it; if Frax replaced it with a new token, Treasury v2 would not recognise the new one. Any rights you have against Frax depend on Frax's own terms, not on these Terms. Action or failure by Frax or its bridge may prevent a redemption, loan or repayment even though the treasury contracts are immutable.
"Floor", "backing", "reserve" and similar expressions describe specific Protocol calculations:
- Treasury v1 backing is the ETH the treasury holds per effective $UFG. Redemption pays 98% of that share; 2% stays in the pot.
- Treasury v2 backing is the sfrxETH the treasury holds or has lent out per effective $UFG. Redemption pays 85% of that share; 15% stays in the pot. It is paid only from sfrxETH the treasury has on hand.
- Effective supply is total supply minus burned tokens. It includes the founder's $UFG held in the token lock. Treasury v1 also counts the $UFG held permanently in the Pons launch locker; Treasury v2 excludes it.
The market price of $UFG can be above or below its backing. Redemption pays the backing share only. It does not return your purchase price.
Statements that backing per token "never falls" or "rises" refer to these quantities of ETH and sfrxETH as the contracts compute them. They do not guarantee:
- a minimum market price or dollar value;
- preservation of principal or a positive return;
- immediate liquidity or a willing purchaser;
- successful execution of a redemption;
- recovery of assets after a technical, issuer or infrastructure failure.
A redemption amount is determined by the contract rules at the moment of execution. A redemption through Treasury v2 reverts in full, and burns nothing, when the sfrxETH leg exceeds the sfrxETH the treasury has on hand, which can happen while sfrxETH is out on loan. An amount denominated in ETH or sfrxETH is not a promise of any amount of U.S. dollars. ETH and sfrxETH may lose value, sfrxETH may trade away from ETH, and either may become illiquid or unavailable for transfer.
Redeemed $UFG is burned permanently. A redemption cannot be undone.
06Material risks
Understand the mechanics and the risks before you sign a transaction. Material risks include:
- Software and security: defects, vulnerabilities, exploits, compromised dependencies, economic attacks and unexpected interactions between contracts.
- Network: congestion, outages, censorship, reorganisations, forks, sequencer failures, changes to network rules and bridge failures. Robinhood Chain's core contracts are upgradeable by its operator, and it runs a single sequencer.
- Execution: price impact, transaction ordering, front-running, failed transactions and execution on different terms from an earlier estimate.
- Asset and liquidity: extreme volatility, insufficient liquidity, reserve impairment, issuer or bridge failure, transfer restrictions and loss of access to redemption.
- Loans: interest accrual, liquidation and the permanent loss of posted collateral, described under Borrowing and collateral.
- Fee flow: Treasury v1 is funded by creator fees on $UFG's market, collected from the Pons V2 fee escrow. Future fees depend on Pons and on trading continuing, and may stop. Fees that have accrued but are not yet swept and claimed are not treasury assets.
- Wallet: lost or compromised keys, malicious approvals, phishing, incorrect addresses, incompatible wallets and transfers on the wrong network.
- Information: stale or incorrect data, unavailable services, misleading third-party information and errors in displayed calculations.
- Legal: changes in law, enforcement action or asset classification that restrict access, transfer, holding or redemption. A regulator may view a burn-for-assets right against a pooled treasury as fund-like, and access rules may have to change in response.
The treasury contracts and the token lock were not externally audited before launch. Tests, reviews, audits, simulations and published code do not establish that a system is safe or free of defects.
You acknowledge these disclosed risks. This acknowledgment does not waive rights or remedies that cannot lawfully be waived.
07Borrowing and collateral
Before opening a position, read the notes and questions beside the Borrow panel. The mechanics are these:
- you post $UFG as collateral in Treasury v2 and may borrow sfrxETH up to 80% of that collateral's share of the sfrxETH in Treasury v2, subject to the sfrxETH the treasury has on hand; Treasury v1's ETH does not count, and a loan must be at least 0.001 sfrxETH;
- interest is fixed in the contract at 5% a year and compounds every second, so your debt and your loan-to-value rise over time even if you do nothing; borrowed at the 80% limit, with no growth in backing, a position reaches the liquidation line after about one year;
- there is no maturity, no margin call and no warning;
- once a position's debt exceeds 84% of its collateral's share, anyone may liquidate it: the whole collateral is burned and is not returned to you, the principal is written off, and the caller is paid nothing;
- you repay in sfrxETH, in part or in full, at any time; anyone can repay any position, and repayments cover interest first, then principal;
- posted collateral cannot be redeemed while it is posted, and can be withdrawn only to the extent the contract's rules allow given your remaining debt.
Loan-to-value is measured against Treasury v2 backing as the contract computes it, not against a market price. Depositing collateral does not mean it is available for immediate withdrawal. If sfrxETH becomes unavailable for transfer on Robinhood Chain, you may be unable to repay before a position becomes liquidatable.
The Interface shows your position when the page refreshes. It does not monitor it for you and sends no alerts. The contributors plan to submit liquidation transactions themselves, and anyone else may do so.
08Transaction responsibility, estimates and fees
Before signing, review the network, contract address, asset, amount, recipient, approvals, fees and every other material term of the transaction.
Wallet approvals (token allowances granted to Treasury v1 or Treasury v2) authorise later transfers within their scope. The Interface asks for an allowance of the exact amount of the action you are taking: $UFG for a redemption or a collateral deposit, sfrxETH for a repayment. Disconnecting a wallet from the Interface does not revoke an onchain approval; you can revoke one at any time with any allowance tool.
Displayed balances, backing, borrowing capacity and estimated proceeds may be delayed or inaccurate. An estimate is not a guaranteed execution result. The Interface submits a redemption with the quoted amounts as its minimum, so a redemption may fail rather than pay less. Blockchain execution determines the onchain result; that does not eliminate legal rights arising from an inaccurate or misleading description.
The Interface charges nothing. The Protocol's fees are fixed in the contracts and cannot be changed by anyone:
| Parameter | Value |
|---|---|
| Treasury v1 redemption | 2% of the ETH share stays in the pot |
| Treasury v2 redemption | 15% of the sfrxETH share stays in the pot; v1's 2% applies to the ETH leg |
| Loan interest | 5% a year, compounding every second |
| Liquidation | above 84% loan-to-value the whole collateral is burned; the caller is paid nothing |
| Interface fee | none |
Network fees are paid to Robinhood Chain and may be incurred even when a transaction fails. Buying or selling $UFG happens on its market, outside the Interface. Every trade there pays 2% under the Pons launch terms: a 1% Pons standard fee, split between Pons and the creator, and a 1% creator tax. Treasury v1 is the creator. Completed onchain transfers are not reversible; any legally required remedy is unaffected.
09Information, conflicts and third parties
Content on the Interface is general information. It is not personalised investment, financial, legal or tax advice, and it is not an offer or solicitation to buy or sell anything. We do not assess whether a transaction is suitable for your circumstances. You are responsible for obtaining advice where needed and for your own tax reporting and payment obligations.
The contributors, the builders of the Protocol and persons related to them have economic interests that may differ from yours:
- the founder holds 111,440,207 $UFG, 11.14% of supply, bought in the opening curve buy at launch. It sits in the token lock described in section 4 until 2 November 2026 at the earliest, and is then to go to a multi-sig under the protocol's control. There was no other team or pre-mine allocation;
- the controller and guardian roles on the funding contracts described in section 4 are held by the UFG developer wallet;
- the contributors plan to submit fee-collection and liquidation transactions themselves;
- the builders and persons related to them may hold, buy, sell, redeem, borrow against or provide liquidity for $UFG at any time, under the same contract rules as anyone else.
Statements about future products, strategies or revenue are plans. They may change or never happen, and they are not commitments.
Third-party wallets, RPC providers, Pons, Uniswap, Frax, Robinhood Chain, block explorers, market and price sites and linked websites operate under their own terms. Their inclusion does not mean we control, endorse or guarantee them.
References to Robinhood, Robinhood Chain, Frax, Pons, Uniswap, CoinGecko or any other third-party name do not establish sponsorship, partnership, approval or affiliation.
10Permitted use and Interface availability
You must not use the Interface for fraud, theft, market manipulation, money laundering, sanctions evasion, unlawful transactions or infringement of another person's rights. You must not compromise the Interface's security, interfere with its operation, exploit a vulnerability, manipulate displayed data, overload the infrastructure it relies on, or misrepresent an affiliation with it.
We may restrict, suspend, modify or discontinue Interface features where reasonably necessary for maintenance, security, legal compliance or cessation of the service. Where reasonably practicable and lawful, we will give notice of material changes or discontinuation.
The Interface runs on ordinary web hosting under a domain name that the contributors control. Either can be taken down by them, or by a third party, at any time. The Protocol is unaffected: everything the Interface does can be done by calling the contracts directly.
Such action does not amend an immutable contract or give us a power to release assets that we do not possess. Interface access restrictions do not extinguish rights you already have under applicable law.
11Warranties
Except for express commitments in these Terms and warranties or duties imposed by applicable law, the Interface is provided on an "as is" and "as available" basis.
We do not warrant uninterrupted availability, error-free information, compatibility with every wallet, the absence of vulnerabilities, successful execution, liquidity, profitability or the continued availability of any third-party service.
To the extent they may lawfully be excluded, implied warranties of merchantability, fitness for a particular purpose and non-infringement are excluded. Nothing in this section overrides mandatory standards of reasonable care, accurate description or other non-excludable obligations.
12Liability
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law does not permit to be excluded or limited.
Subject to that rule, we are not responsible for losses caused solely by circumstances outside our reasonable control, including independent market movements, the acts of a third-party issuer, bridge or network operator, the operation of the Protocol or any third-party failure, except to the extent our own breach or other legally actionable conduct caused or contributed to the loss.
For business users, and only where enforceable, we exclude liability for indirect or consequential losses and for loss of business profits, business opportunities or goodwill arising from use of the Interface.
Consumer rights, mandatory compensation rights and other protections that cannot lawfully be waived remain unaffected. These Terms do not prevent a complaint to, communication with, or cooperation with a regulator or law-enforcement authority.
13Responsibility for third-party claims
If you use the Interface in the course of business, you agree, where enforceable, to reimburse the contributors for reasonable, documented losses and legal costs arising from third-party claims directly caused by your fraud, intentional unlawful use or material breach of these Terms. This obligation does not extend to loss caused by the contributors' own breach, negligence or misconduct.
We will give reasonably prompt notice of a relevant claim and a reasonable opportunity to participate in its defence. No settlement imposing an admission or non-monetary obligation on you may be agreed without your consent, which must not be unreasonably withheld.
14Privacy notice
This is the whole of what the Interface handles about you.
- No accounts, no user database. The Interface reads public chain data from a Robinhood Chain node. Nothing you do on it is written to a server we run.
- Your wallet. The Interface talks to the wallet installed in your browser. It uses no sign-in service. Your wallet address is used in your browser to read your balances and position from the chain, and reaches the RPC provider as part of those requests.
- Ordinary web traffic. Your IP address and browser details reach our hosting provider (Netlify), the Robinhood Chain RPC provider and Google Fonts, which serves the typefaces, as with any website. Those providers keep their own logs under their own policies. We run no analytics, no advertising trackers and set no cookies.
- On your device. Your browser stores that you accepted these Terms (the version and the time), so you are not asked again. Clear your site data to remove it.
- The blockchain. Transactions and wallet addresses are public and permanent. Deleting Interface data does not delete blockchain records, and nobody can.
To ask what is held about you, write to the contributors at @UFGDefi on X ↗. Acknowledging this notice is not consent to optional processing where separate consent is required.
15Changes, disputes and other terms
We may change these Terms for future use of the Interface. The effective date and version appear at the top of this page; when a change is material you will be asked to accept again. Changes do not retroactively remove accrued rights or alter completed transactions.
These Terms make no choice of governing law or forum. The mandatory protections of the place where you are apply regardless.
You may raise a dispute or complaint with the contributors at @UFGDefi on X ↗. Doing so is not a condition for exercising a statutory remedy, obtaining urgent relief or contacting a regulator.
If a provision is unenforceable, it is severed to the extent permitted and the remaining provisions continue where legally possible. These Terms form the whole agreement concerning Interface access. They do not exclude liability for fraud, override mandatory pre-contractual disclosures or eliminate rights that cannot be excluded.
Accepting these Terms on the website governs your use of the Interface. Interacting with the contracts directly, without the Interface, is outside these Terms and entirely at your own risk.
